	The Flashbooking.com Contract with Partner Establishments FLASHBOOKING AGREES: -To provide Information Technology services to the Partner such that the Partner's product may be advertised and booked directly online over the Internet by third party customers ("User"). -That the User's credit card will be debited for a deposit amount (10%) upon booking, and the credit card details will be made available to the Partner so that the balance due in respect of the product upon arrival or departure of the User, or the charge for first night in the event of a no-show ( or late cancellation fee) by the User may be deducted by the Partner in accordance with FLASHBOOKING's terms (72 hours) displayed on its website. -To promote the Partner's product on some or all of its websites and through its network of affiliates. THE PARTNER AGREES: >that FLASHBOOKING has NO RESPONSIBILITY whatsoever to the User for the making of bookings, being an AGREEMENT between the User and Partner itself based on the information published and updated online solely by the Partner. > to indemnify FLASHBOOKING in respect of loss and damage arising from any User claims and to solve all disputes that may arise without Flashbooking intermediation. >to make sufficient product available to FLASHBOOKING such that visitors to FLASHBOOKING’s site and network of affiliates will have product available for purchase. >to honour and discharge all bookings made through the FLASHBOOKING’s on-line booking system and network, especially including bookings made for special event periods and any supplementary wishes reported by users (where possible). >to check that all relevant information which ensure a correct purchasing of the product ( PARTNER’s contacts, description, policies, product availability, type and number of rooms, prices, cancellation policy, facilities, promotions, tours etc.) are CONSTANTLY AND CAREFULLY updated through the personal on-line Back Office provided by FLASHBOOKING and that the Partner is the only direct responsible for updating and maintaining the pricing for its products and for any data entry errors. >to take full responsibility in case of the Partner is not able to honour a booking (confirmed online) and: a.) to find an equivalent (or superior) product for the User without recourse to FLASHBOOKING and at no extra charges for the User or b.) in case the User should not be satisfied with the alternative product, the Partner will return the sum equivalent to the deposit and booking fees spent online to the User within 3 working days. >that the prices inserted and updated through the Back Office are expressed in Euros and are inclusive of all taxes and services and correspond to the BEST AVAILABLE RATES for an overnight stay and that no better price can be obtained by making a reservation via another party or medium (“Parity Rate” condition). >that the non-refundable deposit retained by FLASHBOOKING (the 'Deposit') corresponds to the charge for the IT services provided by FLASHBOOKING and that the deposit will be of 10% of the booking cost. >to charge the User (only at check-in or check-out, according to the Partner’s internal policies) the 90% balance which is equal to the difference between the full price quoted on the internet (at the moment of the User’s online purchasing) and the ‘Deposit’ retained by FLASHBOOKING as for booking commission. >that FLASHBOOKING provides the cases for which a cancellation penalty is to be due by the User. For any: a) Cancellation with 72- hours advance notice (or No-Show): the Partner can charge a penalty correspondent to the cost of the first night per person. b) Cancellation with 72+ hours advance notice: FLASHBOOKING does not provide any penalty. PLEASE NOTE: it is sole Partner’s right and responsibility to apply a different cancellation fee in accordance with its internal policy. This can be specified through the personal Back Office and will be available on-line to Users during the booking process and on the booking voucher. If nothing is specified, it is intended by both parties that FLASHBOOKING’s cancellation policy will display and apply. >that inserting direct references (as fax/telephone numbers, email address, etc) to the Partner’s property is not allowed where not explicitly requested. It is also forbidden to insert links to other websites or references to hyperlinks to the website of the Partner’s property or that of third parties.If FLASHBOOKING has any indications that the information about the Partner’s property are not correct and /or do not follow the terms of the contract, FLASHBOOKING retains the right to exclude or adapt the information and take further actions. >that has full responsibility of the User’s personal data and credit card details once FLASHBOOKING makes them available and commits to secure them, preventing third parties to have access to them for improper or fraudulent use. >the right to FLASHBOOKING to inspect the Partner ‘s establishment at any time >that the order in which the Partner’s property is listed on FLASHBOOKING website and network of affiliates (the ranking) is determined unilaterally by FLASHBOOKING and it is based on: the amount of product available, Users’ reviews/ratings and displayed prices. >that cannot hold FLASHBOOKING responsible or liable for problems generated by viruses, black-outs, (temporary) breakdowns and related issues. >to respond in a timely manner in relation to any queries. LIABILITY: >The Information Technology services are provided by FLASHBOOKING on an 'as is' basis. FLASHBOOKING makes no representations, warranties or undertakings with respect to the services provided under this agreement. >FLASHBOOKING shall have no liability to the Licensee for loss or damage arising out of or in connection with this agreement, including but not limited to loss of data, income, profit or opportunity and third party claims, or for any indirect or consequential loss or damage. CONTENT PROVIDED BY THE PARTNER: >The Partner is at all times responsible for a correct up-to-date statement of the information and will also indemnify FLASHBOOKING in respect of any users’ claims concerning erroneous information about the Partner’s property on the website or any other claims related to services provided by the Partner. Any complaint is to be dealt with by the Partner without mediation of FLASHBOOKING. >The Partner warrants that (i) any content which relates to the Partner's product (including information, contacts, prices, reviews and photographs) provided to FLASHBOOKING by the Partner (the "Content") is owned by the Partner; and (ii) the Content is true and accurate and not misleading. In these cases, if it is necessary or if incongruities arise, FLASHBOOKING retains the right to shorten, correct or standardize the information provided by the Partner. >The Partner hereby grants FLASHBOOKING (and any sub-licensee of FLASHBOOKING) a royalty free licence to use the Content. >The Partner agrees to indemnify and hold FLASHBOOKING and its sub-licensees harmless in respect of any claim by any third party arising from the use of the Content by FLASHBOOKING or its sub licensees. GENERAL: >Your use of this web site is conditional upon your irrevocable acceptance without modification of the terms, conditions and notices contained herein and your agreement to usethis web site and service in accordance with and subject to these terms, conditions and notices. > You draw up this fixed term contract with FLASHBOOKING and agree that both parties MUST give written notice of contract withdrawing (cancellation) at any time ( via e-mail, fax, registered letter) and without incurring in any fee. It is clear that the Partner has to discharge and guarantee all the on-line occurred bookings (even if they follow the contract closing date) and at the prices the Users confirmed on-line.
